Fund Finance Associate

The Cadwalader Charlotte office seeks an associate for the Fund Finance practice.  Qualified candidates will have 3-7 years of experience in syndicated lending, commercial lending, leverage finance, fund formation, CLOs or other relevant experience.  Candidates must possess excellent academic credentials and solid law firm or in-house legal experience as well.

Fund Finance Staff Attorney

The Fund Finance Group represents financial institutions providing financing to private equity funds.  As a staff attorney in the Fund Finance Group, your responsibilities will include reviewing and answering certain diligence questions with respect to a private equity fund's organizational documents, such as the limited partnership agreement and any letter agreements entered into between the private equity fund and an investor.  With the guidance of senior members of the deal team, you would also be responsible for drafting documentation to memorialize the loan to the private equity fund and the security pledged in support of such loan.  The position requires strong time management skills and the ability to simultaneously manage responsibilities on multiple engagements.

Title & Survey Attorney

The Charlotte office is seeking an experienced Title & Survey attorney.  Ideal candidate will have at least four years of relevant experience, preferably in a large law firm setting or title company.  This person will manage and coordinate title and survey review for the firmwide Real Estate practice.  Duties include, but are not limited to, reviewing and summarizing exceptions listed in title commitments; spotting title issues and working with deal attorneys to resolve/structure around any such issues; working closely with title companies and borrower’s counsel to clear title and obtain proforma lender’s title policies prior to the closing and final lender’s title policies post-closing; reviewing, commenting on and working closely with surveyors and borrower’s counsel to finalize surveys prior to closing; overseeing and reviewing paralegal work.  Salary commensurate with experience.
